TRI-OLOGY®’S AMBASSADOR PROGRAM PROMOTIONAL TERMS AND CONDITIONS

GENERAL

Subject to these Ambassador Promotional Program Terms and Conditions (“Ambassador Terms”), the TRI-OLOGY®’S Ambassador Promotional Program (the “Program”) operated by NOWsystem, Inc. (“TRI-OLOGY®”) offers registered TRI-OLOGY® users (each referred to herein as a “TRI-OLOGY®Ambassador” or “you”), including dental professionals, and qualifying dental offices (each, a “Dental Office”) the opportunity to refer its patients, family or friends (each, a “Referred Patient”, “Referred Family”, or “Referred Friend”) and earn CASH for certain promotional activities that the TRI-OLOGY® Ambassador can redeem for CASH and/or apply towards purchases of TRI-OLOGY® products. CASH may be earned by (i) successfully recommending TRI-OLOGY® products (each, a “Qualifying Product”) to Referred Patients, Referred Family, or Referred Friends who purchase such products through an active personalized code (“Personal Code”); (ii) inviting colleagues to register with TRI-OLOGY®; (iii) engaging with TRI-OLOGY®through certain activities on social media and/or the TRI-OLOGY® application (“TRI-OLOGY® App”); and (iv) ranking high on the TRI-OLOGY® application for successful recommendations; (v) purchasing certain TRI-OLOGY® products (each, a “Qualifying Purchase”); and (vi) participating in certain promotional activities, like posting about TRI-OLOGY® or TRI-OLOGY® products on social media and tagging and/or mentioning TRI-OLOGY®.

By (i) sharing a Personal Code issued through the Program, clicking a button or taking another action to signify your acceptance of these Ambassador Terms, (ii) participating in the Program, or (iii) claiming or accepting any benefits from the Program, including CASH, and/or applying CASH towards the purchase of products, and/or accepting rewards, you accept these Ambassador Terms and all terms incorporated by reference as described below. If you do not agree to be bound by these Ambassador Terms, you may not participate in the Program.

These Ambassador Terms supplement the terms of TRI-OLOGY®’s Terms of Use available at https://triologycare.com/tri-ology-ambassador-program-terms-of-use/ (as they may be modified from time to time), which are incorporated herein by reference 
(“TRI-OLOGY® Terms of Use”). By accepting these Ambassador Terms, you also accept the TRI-OLOGY®Terms of Use. In the event of a conflict between these Ambassador Terms and the TRI-OLOGY® Terms of Use, these Ambassador Terms control with respect to the Program.

The TRI-OLOGY® Ambassador Promotional Program Policies and Procedures available at https://triologycare.com/tri-ology-ambassador-program-policies-procedures/, are hereby incorporated into these Ambassador Terms.

Participation in the Program, including opportunities to share a Personal Code, earn CASH for promotional activities, and redeem CASH for products and/or accepting rewards, is made available by TRI-OLOGY® at TRI-OLOGY®’s sole discretion and is subject to your compliance with these Ambassador Terms. TRI-OLOGY®MAY LIMIT, SUSPEND, MODIFY, OR TERMINATE THE PROGRAM AND/OR YOUR ABILITY TO PARTICIPATE IN THE PROGRAM IN ITS SOLE AND ABSOLUTE DISCRETION AT ANY TIME WITH OR WITHOUT PRIOR NOTICE TO YOU.

ELIGIBILITY ​

Eligibility to participate in the Program is open only to individuals, including dental professionals, who are legal residents of the United States, including the District of Columbia, who are at least 18 years of age at the time of participation. 

If you are a participating dental professional, you are solely responsible for making any disclosures you are required to make to those clients or patients that are Referred Patients pursuant to the laws and regulations applicable in the jurisdiction in which you practice. All TRI-OLOGY® Ambassadors, whether or not dental professionals, agree not to make any false or misleading statements about the Products and to comply with all laws, rules, regulations, and industry best practices applicable to your advertisement and promotion of TRI-OLOGY® products, and participation in the Program. For example, your obligations may include, but not be limited to:

  • United States Professionals: If you are a TRI-OLOGY® Ambassador residing in the United States, you agree that any and all digital and/or social media postings, text and email messages, and all other communications or statements (each, a “Communication”) effected by or on behalf of you in connection with your promotion of TRI-OLOGY® and TRI-OLOGY® products will comply with all applicable laws, rules, regulations, and guidelines (including without limitation, the federal Telephone Consumer Protection Act, 47 U.S.C. section 227 et. seq, the federal CAN-SPAM Act, 15 U.S.C. sections 7701-7713, and the Federal Trade Profit Share's Guides Concerning the Use of Endorsements and Testimonials in Advertising, 16 CFR part 255 (https://www.ftc.gov/sites/default/files/attachments/press-releases/ftc-publishes-final-guides-governing-endorsements-testimonials/091005revisedendorsementguides.pdf), as well as the rules, regulations and policies of each applicable digital and/or social media platform. Without limiting the generality of the foregoing, each Communication shall be preceded with (i) a clear and conspicuous disclosure of the nature of your Ambassador relationship with TRI-OLOGY® and that you receive CASH, products and/or rewards in exchange for your endorsement of TRI-OLOGY®; or (ii) if the posting is a social media posting, either the disclosure in the foregoing clause (i) or “#ad,” #TRI-OLOGY®Sponsored,” “TRI-OLOGY_Ambassador” or other such hashtags as may be required by TRI-OLOGY®’s sponsorship or endorsement posting guidelines as may be provided by TRI-OLOGY®from time to time. You agree to promptly edit any posts as may be requested by us.

The following individuals are also excluded from eligibility to participate in the Program: the immediate family members of the officers, directors, employees, agents, and representatives (collectively, “Personnel”) of TRI-OLOGY® and/or its corporate parents, subsidiaries, and affiliated companies (i.e., spouses, parents, children, siblings, and the “steps” of each) and all other persons living in the same households as Personnel. You may only participate in the Program through your use of a single TRI-OLOGY® account. You are responsible for all uses of your TRI-OLOGY® account and for maintaining the currency and accuracy of the e-mail address and any other contact information stored in your account. The creation or use of multiple accounts, e-mail addresses, online identities, or aliases to circumvent the single-account restriction or any other requirement or limitation specified in these Ambassador Terms is prohibited and may result in your exclusion from the Program and the cancellation of all related Personal Codes and CASH. TRI-OLOGY® may, in its sole discretion, suspend, cancel, or combine any accounts that appear to be duplicative. TRI-OLOGY® is not liable for CASH sent to suspended or terminated or inaccurately entered physical or e-mail addresses.

 

SHARING YOUR PERSONAL CODE ​

When sharing your Personal Code, you agree that you will always tell your Referred Patients, Referred Family, or Referred Friends that you will receive a CASH from TRI-OLOGY® if they make a Qualifying Purchase using your code.

Your Referred Patients, Referred Family, or Referred Friends must enter your Personal Code while making a Qualifying Purchase or purchasing a Qualifying Product. If a Referred Patient, Referred Family, or Referred Friend does not enter your Personal Code while making a Qualifying Purchase or purchasing a Qualifying Product, you will not receive any CASH because TRI-OLOGY® cannot reliably determine that the Referred Patient, Referred Family, or Referred Friend’s purchase resulted from your referral.

You may not post or promote your Personal Code on TRI-OLOGY®’s social media pages or on coupon sites or other websites created to take advantage of referral traffic generated from individuals searching for coupons, as determined by TRI-OLOGY® in its sole discretion. Any distribution of your Personal Code that could constitute "spam" under any applicable law or regulation is expressly prohibited. TRI-OLOGY® reserves the right to deactivate any Personal Codes distributed through unauthorized channels and to revoke all related CASH.

TRI-OLOGY® reserves the right, in its sole discretion, to deactivate any Personal Code (and void all associated CASH) which it deems, in its sole discretion, to be used in violation of these Ambassador Terms or in association with content that TRI-OLOGY® deems offensive or inappropriate in its sole discretion. Without limiting the foregoing, such content includes all forms of pornography, obscenity, indecent language, and content that incites hate, is demeaning, disparages or damages the goodwill, reputation, or brand image of TRI-OLOGY®, incites or endorses discrimination in any form or includes false, misleading, or unsubstantiated claims about TRI-OLOGY® products or any competitive products.

EARNING CASH

  • Successful Recommendations

Every time a TRI-OLOGY® Ambassador recommends a Qualifying Product to a Referred Patient, Referred Family, or a Referred Friend, that recommendation will be “successful” when a Referred Patient, Referred Family Member, or Referred Friend completes a purchase of that Qualifying Product using the TRI-OLOGY® Ambassador’s Personal Code.

  • o   When a TRI-OLOGY® Ambassador successfully recommends a single 8oz Restoring Rinse to a Referred Patient, Referred Family, or a Referred Friend, the TRI-OLOGY® Ambassador will earn $3.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack bundle (3 bottles) 8oz Restoring Rinse to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $9.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack bundle (3 bottles) 2oz Restoring Rinse to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $3.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a single 8oz Mouth, Face, and Hand Guard to a Referred Patient, Referred Family, or a Referred Friend, the TRI-OLOGY® Ambassador will earn $3.00
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack bundle (3 spray bottles) 8oz Mouth, Face, and Hand Guard to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $9.00. 
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack bundle (3 spray bottles) 2oz Mouth, Face, and Hand Guard to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $3.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-pack bundle (3 spray bottles) 1oz Mouth, Face, and Hand Guard to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $2.00. 
  • o   When a TRI-OLOGY® Ambassador successfully recommends a single 2oz Brushing Gel to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $2.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack bundle (3 tottles) 2oz Brushing Gel to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $6.00. 
  • o   When a TRI-OLOGY® Ambassador successfully recommends a single 1oz Restoring Gel to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $5.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack bundle (3 tubes) 1oz Restoring Gel to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $15.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a single 2-Pack (2 bottles) 2oz Extreme Dry Mouth Solution to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $3.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 6-Pack (6 bottles) 2oz Extreme Day Mouth Solution to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $9.00
  • o   When a TRI-OLOGY® Ambassador successfully recommends a single Treatment Pen to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $3.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack (3 pens) Treatment Pens to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $9.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a single 2oz Cotton Cleanse to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $2.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack (3 bottles) 2oz Cotton Cleanse to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $6.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a Combo Bundle of a single 8oz bottle Restoring Rinse and a single 2oz tottle Brushing Gel to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $5.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a Combo Bundle of a single 8oz bottle Restoring Rinse, a single 2oz tottle Brushing Gel, and a single 1oz Restoring Rinse Spray to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $6.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a Combo Bundle of a single 8oz bottle Restoring Rinse, a single 2oz tottle Brushing Gel, a single 1oz Restoring Rinse Spray, and a single Treatment Pen to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $9.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack Combo Bundle of three 8oz bottles Restoring Rinse and three 2oz tottles Brushing Gel to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $15.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack Combo Bundle of three 8oz bottles Restoring Rinse, three 2oz tottles Brushing Gel, and three 1oz Restoring Rinse Sprays to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $18.00.
  • o   When a TRI-OLOGY® Ambassador successfully recommends a 3-Pack Combo Bundle of three 8oz bottles Restoring Rinse, three 2oz tottles Brushing Gel, three 1oz Restoring Rinse Sprays, and three Treatment Pens to a Referred Patient, Referred Family, or Referred Friend, the TRI-OLOGY® Ambassador will earn $27.00.

 

 

  • Invites and Registrations

On certain occasions where a TRI-OLOGY® Ambassador invites other dental professionals to register for TRI-OLOGY®, and where other dental professionals may register for TRI-OLOGY® as a result of such invites, a TRI-OLOGY® Ambassador may be eligible for CASH.

  • o   When a TRI-OLOGY® Ambassador invites a colleague to join TRI-OLOGY® as an ambassador and that colleague signs up to be a TRI-OLOGY® Ambassador, the TRI-OLOGY® Ambassador will earn $50.00. 
  • o   When a Dental Office lists a TRI-OLOGY® Ambassador as the referring dental professional to the Dental Office when it enrolls, the TRI-OLOGY® Ambassador will earn $100.00.

 

 

REDEEMING CASH FOR PRODUCTS 

TRI-OLOGY® Ambassador can use CASH in their account to purchase TRI-OLOGY® products, accessories, and other items for sale at https://TRI-OLOGYcare.com  and at https://TRI-OLOGYcare.com/ambassador

TRI-OLOGY® Ambassadors earn CASH when purchasing TRI-OLOGY® oral care products. Refer to “Earning Cash” for details. No CASH is earned when purchasing accessories and non-oral care product items.

TRI-OLOGY® CONTENT AND CREATIVE ASSETS

TRI-OLOGY® may grant TRI-OLOGY® Ambassadors access to certain content through the TRI-OLOGY® App or otherwise to assist in promoting or selling the TRI-OLOGY® products (“Promotional Content”). TRI-OLOGY® hereby grants a non-exclusive, non-transferable, non-sublicenseable license to TRI-OLOGY®Ambassadors to use the Promotional Content solely for the purpose of selling or promoting the TRI-OLOGY®products or promoting TRI-OLOGY® in accordance with these Ambassador Terms. TRI-OLOGY®Ambassadors shall not use or permit the use of the Promotional Content for any other purpose, nor shall they (1) alter or modify it in any way or create derivative works from it without advance written permission from TRI-OLOGY® or (2) use it in connection or conjunction with other content that TRI-OLOGY® in its sole discretion deems inappropriate. As between TRI-OLOGY® and TRI-OLOGY® Ambassadors, all intellectual property and other proprietary rights in and to the Promotional Content are and shall be owned by TRI-OLOGY® and/or its licensors. TRI-OLOGY® may revoke this license at any time in its sole discretion. Upon revocation of the license, termination of these Terms or your Ambassador relationship with TRI-OLOGY®, you shall immediately cease using and displaying the Promotional Content.

 

ADDITIONAL TERMS

Any Qualifying Purchases or CASH that cannot be verified to the satisfaction of TRI-OLOGY® are subject to adjustment, cancellation, disqualification, or revocation at our sole discretion.

TRI-OLOGY® will not be liable for the failure of any CASH to be accurately issued or redeemed for any reason, including, but not limited to, any technical malfunction or other problems relating to any network, computer system, servers, access providers, computer equipment or software.

TRI-OLOGY® reserves the right, in our sole and absolute discretion, to (i) investigate, invalidate, and revoke any CASH we deem to have been issued in error, or as the result of any violation of these Ambassador Terms, or as the result of any actual or suspected fraudulent or improper activity (including without limitation, the use of any system, macro, script, bot or fake email address to manipulate the Program) and (ii) bar further Personal Codes and CASH from being sent by, and CASH from being issued to, any Referring Parties associated with any actual or suspected fraudulent or improper activity or violations of these Ambassador Terms. If TRI-OLOGY® has any reason to suspect improper activity associated your participation in the Program, TRI-OLOGY® reserves the right to delay or withhold the issuance of any related CASH. TRI-OLOGY® further reserves the right to terminate your Program account and deactivate, cancel, or revoke any related Personal Codes or CASH if TRI-OLOGY® suspects that you (or any Referred Patient or Referred Friend you refer to TRI-OLOGY®) has used or attempted to use the Program in a fraudulent or abusive manner or in violation of these Terms, TRI-OLOGY® Terms of Use, or applicable law. In the event that your participation in the Program is terminated, you will not be able to redeem any accumulated CASH and you are not permitted to re-enroll in the Program without the prior written consent of TRI-OLOGY®.

Without notice to you, TRI-OLOGY® also reserves the right to “unregister" a Program account that is inactive and cause that Program account to be ineligible for the Program. An inactive Program account is defined as a TRI-OLOGY® account that has not earned or redeemed for one year. In the event that your Program account is unregistered due to inactivity, then you will no longer be eligible for Program benefits, including earning CASH or redeeming accumulated CASH as products and/or rewards. You may reactivate your Program account by obtaining and using a new Personal Code, but any CASH earned prior to your program account being deemed inactive will be forfeited and void.

MISCELLANEOUS

Any disputes related to these Ambassador Terms and the subject matter herein will be resolved pursuant to the dispute resolution terms of TRI-OLOGY® Terms of Use. If any provision of these Ambassador Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Ambassador Terms will remain enforceable, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Any waiver or failure to enforce any provision of these Ambassador Terms on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. You may not assign any rights or obligations under these Ambassador Terms, in whole or in part, without the written consent of TRI-OLOGY®. TRI-OLOGY® may freely assign or transfer these Ambassador Terms. Any assignment or transfer in violation of the foregoing is void. These Ambassador Terms are the final, complete, and exclusive Ambassador Terms between you and TRI-OLOGY® with respect to the subject matters hereof and supersedes and merges any discussions between you and TRI-OLOGY® with respect to such subject matters. If you are dissatisfied with any aspect of the Program at any time, your sole and exclusive remedy is to cease participating in the Program.

RIGHT TO CANCEL PROGRAM AND CHANGE TERMS

TRI-OLOGY® RESERVES THE RIGHT TO MODIFY AND/OR TERMINATE THE PROGRAM AND/OR MODIFY ALL OR ANY PORTION OF THESE AMBASSADOR TERMS OR ANY POLICY PERTAINING TO THE PROGRAM AT ANY TIME AND IN OUR SOLE DISCRETION, INCLUDING, WITHOUT LIMITATION, THE RIGHT TO DISCONTINUE OR CHANGE ANY PROGRAM BENEFITS OR EXPIRATION DATES FOR CASH AND RELATED CODES RECEIVED THROUGH THE PROGRAM, MERGE THE PROGRAM WITH ANOTHER REWARDS PROGRAM, OR TO ADJUST HOW CASH IS EARNED, CALCULATED OR REDEEMED. IT IS POSSIBLE THAT YOU MAY BE UNABLE TO REDEEM ACCUMULATED CASH AS A RESULT OF FUTURE PROGRAM CHANGES OR IF WE DISCONTINUE THE PROGRAM OR MERGE THE PROGRAM INTO ANOTHER REWARDS PROGRAM. IF WE MAKE CHANGES, WE WILL POST THE AMENDED AMBASSADOR TERMS TO OUR WEBSITE AND UPDATE THE “LAST UPDATED” DATE ABOVE. WE MAY ALSO ATTEMPT TO NOTIFY YOU IN OTHER WAYS. UNLESS WE SAY OTHERWISE, THE AMENDED AMBASSADOR TERMS WILL BE EFFECTIVE IMMEDIATELY AND YOUR CONTINUED PARTICIPATION IN THE PROGRAM AFTER THE AMENDED AMBASSADOR TERMS ARE POSTED WILL CONFIRM YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO THE AMENDED AMBASSADOR TERMS, YOU MUST STOP PARTICIPATING IN THE PROGRAM. CASH ACCOUNTS ARE NOT TRANSFERABLE OR ASSIGNABLE FOR ANY REASON. THE PURPORTED SALE, BARTER, TRANSFER OR ASSIGNMENT OF ACCUMULATED CASH, OTHER THAN BY TRI-OLOGY®, IS STRICTLY PROHIBITED.
